非执行董事
非执行董事，又称为非常务董事，是董事的一种，也是构成董事会的成员之一，易言之，非执行董事是公司的负责人，但是并不在公司经理层担任日常职务，仅在董事会中对执行董事起着独立第三者监督、检查和平衡的作用，维护公众利益及小数股东权益。
